Investor Documentation: A Full Overview

The swap agreement covers the exchange of tokens for shares of Gem4Me Marketplace Limited. The share swap certificate documents the exchange of Gem 4 Me Marketplace Limited shares for fund shares. A resolution issued by the fund confirms the share exchange. The certificate is the main investor document. Subscription agreement samples are already visible in the shareholder account, with online signing currently in testing — once testing is complete, every investor will sign these documents digitally rather than physically.
On Class C share certificates: legal work is ongoing. The regulator requires a business valuation related to the license sale before Cell 2 can be formally launched and certificates issued. This is a meticulous and time-consuming legal process, but it is moving forward and the team is working to complete and submit everything as quickly as possible.
On identity verification: all investors on the platform are currently undergoing document verification. Video identification may also be introduced — currently at approximately 50/50 probability — depending on the outcome of negotiations with the licensing authority regarding format and necessity. Investors will be kept informed either way.
Within the next few weeks, a transition to a new Marshall company is planned. This company has obtained the rights and license to issue tokens on the Solana platform. Nothing else changes — only the token will be issued on Solana and a new company will operate it. Once this process is launched, online signing of the subscription agreement will become available.

Four years ago, large language models were discussed in the context of military and scientific research applications. Then something became clear to the entire industry: without reaching the end user, these models do not pay off, do not train well, and struggle to generate sustainable revenue. The Gem Space Ambassador Program was presented in full at the September 7th conference, with a detailed explanation of what it means, why it matters, and how it changes the conversation around the project.
An ambassador, in the simplest terms, is someone who believes in something so strongly that they promote it because they genuinely want to — not because they are paid to. Everyone already participating in the Gem Space project is already an ambassador in this sense. What the program does is formalize that identity and give it the tools to be more effective.
Two scenarios were presented to illustrate the difference the ambassador identity makes.
In the first, someone approaches a friend and says “Download Gem Space.” The friend asks why they need another messenger when they already have others. The conversation becomes defensive, justificatory, and usually goes nowhere.
In the second, someone approaches wearing an ambassador t-shirt or hoodie and says “I am a Gem Space Ambassador.” The first reaction is “What is that?” — and the answer becomes a story.
A project that, despite 99% of startups closing within three to six months, survived ten years and grew to 50 million users across 194 countries, with monetization now underway and visible. A project that for the first time made it possible for ordinary people — not Silicon Valley insiders, not venture capitalists — to become investors in a global platform of this scale. That is a completely different conversation.
The ambassador carries a clear, confident message rather than defending a choice. They show people what is possible — what no one else is offering — and let that speak for itself.
The program already has its first active ambassadors. One example highlighted at the conference: a team led by Ekaterina Leontyeva, organized by Elena Okhotnikova, has independently created an avatar, a series of videos, and — entirely on their own initiative — six mini-apps on the platform. Seven detailed educational videos about Gem Space have been produced by this team and are available for download and use by anyone in the community.

A new survey has been launched asking users to vote on their preferred ringtones for the Gem Space app. Ten unique ringtone options — created specifically for Gem Space, not borrowed from standard device libraries — are available for listening and voting. The winning ringtones will become the default incoming call sound, message notification, and service sounds within the application. Participation in the survey is itself an act of ambassadorship — the more users involved, the better the outcome for everyone.
